  • 17 Shareholders were represented via a proxie, Flats: 1,12A, 14, 51, 53, 74, 77, 81, 91, 92, 93, 96, 105, 107, 119, 129, 132

1.   To approve the Minutes of the AGM held on Sunday 21st November 2010
 
2.   To receive the Reports and Accounts of the Companies, Ealing Village Limited and Ealing Village Freehold Limited for the financial year ending on 31st March 2011.

Special Resolutions

Three special resolutions have been put for a vote:

  • Special Resolution 1 Requirement for directors to retire / be re-elected every 3 years & Limit of max 7 directors.  
  • Votes for 2, Votes Against 44 - Resolution not carried, 94% Against

 

  • Special Resolution 2 - Allows directors to transfer the shareholding from the original owner to the new shareholder in the event that was not done as part of the purchase of the flat
  • Votes for 45, Votes Against 1- Resolution carried, 96% in Favour

 

  • Special Resolution 3 - Requirement for directors not to have aged debt on their account
  • Votes for 37, Votes Against 9 - Resolution carried, 80% in Favour

Chair's Report

Presented by Sarah Malcolm and Robin Whittaker, the report covered: 

  • Review of the Year - as a Company and Landlord
  • Alterations are good - the effects VAT savings can have on major works spend
  • Major works have a 2 year lead time

  • Lottery award - Creating a new space for residents to meet - Presented by Dan Johnson
